THE BUSINESS : The roofing and scaffolding business was established as a single entity by our vendor client in 2008. The roofing part of the business was incorporated in 2010, whilst the scaffolding business was incorporated separately in 2012. This was done purely for tax saving purposes (with our vendor client and his wife being directors of the roofing company and the wife being the sole director of the scaffolding company, whilst they are 50/50 shareholders in both companies). Although there are two companies here, the businesses are all but operated as a single entity with in excess of 80% of the scaffolding services income being derived from the roofing company’s clients. ...
